Notify us under the national security and public order (NSPO) notification regime

The NSPO notification regime replaced the temporary emergency notification regime (ENR) on 7 June 2021, and applies to relevant transactions entered into on or after 7 June 2021. ENR continues to apply to transactions entered into before 7 June 2021.

When do I need to notify?

Under the NSPO regime:

  • mandatory notification must be made before the transaction is given effect to
  • voluntary notification may be done either before, or up to 6 months after, the transaction is given effect to.

Investing in an unpublished critical direct supplier

If you’re investing in an unpublished critical direct supplier (CDS) you must notify us:

  • before giving effect to the transaction, or
  • as soon as reasonably practicable after you receive a notice from the CDS under section 20E(2) of the Overseas Investment Act.

What information is required for an NSPO notification?

In your notification you will need to supply information including:

  • your name
  • ownership information
  • the nature and size and market share of the asset(s) to be acquired
  • the reason the asset(s) are being acquired
  • details of any links to non-New Zealand governments.

For electricity, sensitive information, dual-use technology, media, telecommunications and water businesses you will be required to provide detail on the customers of the target entity/business.
